Board of Directors Meeting Minutes October 17, 2023

PROPERTY OWNERS’ ASSOCIATION
October 17, 2023 – 7:00 p.m. Via Zoom – Courtesy of Terry Daulton
7:02 PM- Call to Order: Randy Schubert, President
Present: Randy Schubert, President; Jeff Malison, Vice-President; Roger Nelson, Treasurer; Todd Jirous, Secretary; Directors: Jim Kohl, Randy Payne (joined at 7:30 via phone), Jeff Wilson, Jean Burns and Terry Daulton.
Terry D.- provided an update on Arny Popps’s condition after taking a fall on Sunday
Jeff M.- We used to have more planned quarterly meetings, and they were open to all members. The Bi-Laws say that we need to provide notice in advance of our meeting.
Randy S.- We need to adjust our Bi-Laws and get a meeting notice out 30 days in advance. Doing an email blast would be fairly quick and easy
Roger N.- For the future we have to consider the meeting laws. Special meeting notice is 15 days, and Annual meeting notice is 30 days.
Randy S.- we need to tweak our Bi-Laws in order to access/apply for grants
Roger N.- What do we need to do with the Special Members? They do not have voting rights. Right now there are 14 Special Members on the list, 3 or which were Members before moving away from the Flowage.
Terry D.- can we call them “Subscribers”, and not have voting rights and have some reduced subscriber rate?
There was a lot of dialog around this…with “one mile” around the Flowage being a “Member” with voting rights, and anyone outside of the one mile radius currently being a special member without voting rights.
Randy P.- joined the call via phone at 7:30. A discussion was had with the DNR, any they did have a suggestion. “In order to access Grants, your Members must be able to Vote…taking us full circle back to eliminating/replacing the “Special Member” with no voting rights
There was discussion on perhaps just keeping our membership to a one mile radius around the Flowage, and therefore everyone would vote…but we really hate to alienate those Special Members. If we call everyone Members and allow everyone to vote…that could possibly open us up to other special interest groups, such as the snowmobile clubs from Southern Wisconsin from the activity in the early 2000’s.
Terry D.- read Roger’s message/suggestion in the Word Document attached to his email 10/13/2023 at 9:41 a.m.-
Article II- MEMBERSHIP
Section 1 – Eligibility: Membership in the Association shall be open to any individual (see Article III, Section 1) that owns property within one (1) mile of the TFF and Trude Lake. A Friend of the Flowage subscription is available to any individual or business that does not qualify for membership which entitles them to receive newsletters, publications and educational opportunities offered by the Association.
Discussion was had to have the Friend of the Flowage subscription be at a reduced rate of $15…which can be set by the Board Directors annually.
Roger N.- will change the enrollment Form
Randy P.- will get the process started using the wording from Roger’s word document above.
A motion was made, seconded and passed at 8:04 pm to move forward with the wording from Roger’s document above.
Roger N.- did the research on special meetings and the notice of them. Would we have a Zoom Meeting? Should we send a notice and describe the what and why we’re doing it…to go out 15 days ahead of time? If we foresee having a Zoom meeting- we will have to have 1/20th of our membership in attendance, and have the ability to vote via Proxy.
It would be helpful to have a write up on the draft of the Bi-Law Changes for the meeting.
Thursday, December 14th is the tentative Meeting Date.
Roger N.- to send directions to Jeff M. on the Wisconsin Statutes
Any Articles for the Fall/Winter Driftwood are due October 31st.
